Service Agreement
Effective from: January 1, 2025
1. Who this covers
This service agreement ("Terms") sets out the working relationship between you, the client ("you", "your"), and SCALEXBYECOM LLC ("ScaleXReach", "we", "us"), located at 8206 Louisiana Blvd NE Ste A, Albuquerque, NM 87113-1738, US.
2. What we deliver
ScaleXReach provides: (a) management of Meta and TikTok advertising run through agency Business Managers, (b) InvoiceCashback, which settles supplier invoices and returns 2.0% cashback on validated volume, and (c) Ecommerce Facilitation pairing acquisition, cash flow optimization, and hands-on operational help. The exact scope sits in each client's proposal.
3. Starting and ending work
Work starts once the proposal is signed and the first invoice is paid. The minimum commitment runs three months. Past that initial window, the arrangement rolls month to month, and either side may end it with 30 days written notice. We may end the relationship at once should the client break these Terms or pursue activity that raises legal or regulatory risk.
4. How billing works
We send invoices each month, due within 15 days. Overdue balances carry interest of 1.5% per month. Every fee is quoted in US dollars. Media spend sits apart from management fees and is charged straight to the client by the ad platforms, or routed through our agency accounts where that has been agreed.
5. InvoiceCashback details
We compute the 2.0% cashback on net validated invoice volume, leaving out disputed, reversed, or ineligible sums. The cashback pays out 90 days after settlement. ScaleXReach may revise the cashback rate by giving 60 days written notice. This cashback is not assured income; it relies on the underlying banking infrastructure continuing to supply the rewards that fund it.
6. Who owns the ad accounts
The agency Business Managers running your campaigns are held and operated by SCALEXBYECOM LLC. Campaign data, creative work, and audience data built during our work belong to you. When the engagement ends, we hand over all campaign structures, audience data, and reporting to your own Business Manager within 10 business days.
7. Keeping information private
Each side agrees to protect any business, financial, or technical information shared while we work together. That duty continues to apply for 3 years after the engagement ends.
8. Cap on liability
The most ScaleXReach can owe on any claim tied to the services is capped at the total fees the client paid across the 3 months before that claim. We carry no responsibility for losses driven by third-party platform actions (suspended ad accounts, policy shifts, processor moves), force majeure, or the client's own business calls.
9. Rights to the work
Creative work made for your campaigns becomes yours once payment is complete. Our in-house tools, workflows, methods, and proprietary systems stay with us.
10. Which law applies
The laws of the State of New Mexico, United States, govern these Terms. Any dispute will be settled by binding arbitration in Bernalillo County, New Mexico, following the rules of the American Arbitration Association.
11. Changes to these Terms
We can revise these Terms by giving 30 days written notice. Keeping on with the services once that notice window closes counts as acceptance of the updated Terms.
